Alteogen: Keytruda SC’s European Patent Dispute and ALT-B4 Royalty Realisation
Sales milestones, cash conversion and manufacturing investment
Key Conclusion
Qlex sales establish the commercial use of ALT-B4, but European patent exposure and the timing of licence receipts require separate analysis. Under Merck’s disclosed contract, the 2% net-sales royalty follows the achievement of all sales milestones; applying 2% to current Qlex sales does not measure Alteogen’s current royalty income. Further milestone receipts, operating cash conversion, completed financing and staged factory investment determine the quality of growth.
Research Summary
Alteogen is moving towards sales-based income as Keytruda Qlex commercialises ALT-B4 and generates sales milestones. The European injunction announced on 7 October 2026 adds a timing risk to that transition. This report separates regulatory approval, ownership of patents and freedom to operate, and distinguishes litigant positions from evidenced business effects.
Merck reported USD 463 million in Q2 2026 Qlex sales, including USD 395 million in the United States. International revenue is not treated as exposure to the eight affected European territories, nor is the early geographic mix used to cap future lost opportunity. Disclosed annual and cumulative sales milestones total up to USD 1 billion. The 2% net-sales royalty begins only after all sales milestones have been achieved. The first USD 25 million sales milestone is therefore different from a recurring royalty stream. An explicitly illustrative index model shows how a partial sales delay can move a milestone into another period without asserting actual contractual thresholds or country-level losses.
Consolidated H1 net income increased while operating cash flow declined. The analysis also distinguishes the KRW 200 billion financing announcement from completed individual payments, and the KRW 253.2 billion facility plan from validated commercial output and cash recovery. TradeLens’s view is that platform commercialisation remains supported, while restored European access, subsequent milestone receipts and disciplined investment are the key tests of growth visibility.
Key Points
- European selling restrictions, U.S. patent proceedings, regulatory approval and Alteogen’s own patents are separate matters.
- Merck product revenue is not Alteogen milestone income, royalties or cash receipts.
- The disclosed 2% net-sales royalty follows the achievement of all sales milestones.
- H1 earnings growth must be read alongside weaker operating cash flow and the distinction between announced and completed financing.
- Manufacturing returns and an existing subsidiary’s absorption require different tests from technology-licence margins.
